TERMS OF SERVICE

Please read these Terms of Service carefully before utilizing the Zizz platform. These Terms establish a legally binding agreement between you and Zizz Technologies Ltd ("Zizz", "we", "us", or "our") governing your access to our web services (usezizz.com), mobile applications, and liquidity conversion solutions.

CORE ARCHITECTURE: CLOSED-LOOP SAFEGUARD

To eliminate peer-to-peer bank freeze risks (PND flags), Zizz operates a strict closed-loop settlement architecture. Funds converted on Zizz can only be withdrawn directly into a commercial Nigerian bank account matching your verified identity (BVN/NIN). Third-party transfers are strictly prohibited.

1. ACCEPTANCE OF TERMS & ELIGIBILITY

By creating an account, joining the waitlist, depositing stablecoins, or accessing any service provided by Zizz, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not access or use our services.

Eligibility Criteria:
  • You must be at least 18 years of age (or the legal age of majority in your jurisdiction).
  • You must possess the full legal capacity to enter into a binding contract.
  • You must not be a resident of any restricted or sanctioned territory under United Nations, OFAC, or Nigerian regulatory frameworks.
  • You must not have been previously suspended or prohibited from using Zizz.

2. DESCRIPTION OF ZIZZ SERVICES

Zizz provides non-custodial and virtual account liquidity routing services designed to streamline the offramping of digital assets to local currency.

  • Instant Stablecoin-to-Naira Offramp: Seamlessly convert USDT and USDC deposits directly to Nigerian Naira (NGN) without interacting with untrusted peer-to-peer sellers.
  • 60-Second Guaranteed Rate Lock: When initializing an offramp order, your conversion rate is guaranteed and locked for 60 seconds against slippage.
  • Zizz Network Transfers (@username): Send stablecoins internally to other registered Zizz users using human-readable Cashtag handles.
  • Business Invoicing & Settlement: Enable freelancers, creators, and merchants to generate digital invoices payable in stablecoins or local fiat.

3. CLOSED-LOOP SETTLEMENT & FRAUD PREVENTION

To protect our ecosystem from illicit financial flows and shield user bank accounts from "Post No Debit" (PND) orders issued by financial regulators, Zizz enforces a strict closed-loop settlement policy:

  • Matching Account Identity: Payouts to Nigerian bank accounts are only authorized when the recipient account name identically matches the verified BVN/NIN name associated with your Zizz account.
  • No Third-Party Payouts: You may not direct fiat cashouts to third-party bank accounts, family members, or business associates from a personal account.
  • Reserve Settlement: All Naira payouts are disbursed directly from Zizz's institutional liquidity reserve partner accounts, guaranteeing clean provenance.

4. USER ACCOUNTS & IDENTITY VERIFICATION (KYC/AML)

In compliance with Central Bank of Nigeria (CBN) and Nigerian Financial Intelligence Unit (NFIU) directives, Zizz employs tiered Know-Your-Customer (KYC) verification:

Tier 1 (Basic)

Verified phone number and email address. Subject to entry-level daily conversion limits.

Tier 2 (Identity Verified)

BVN / NIN verification with biometric selfie matching. Higher velocity thresholds.

Tier 3 (Enterprise / Merchant)

Corporate registration documents (CAC), proof of address, and customized business settlement limits.

You agree to provide true, accurate, and complete identification documents and update them promptly upon any change. Providing fraudulent credentials results in immediate account termination.

5. VELOCITY LIMITS & TRANSACTION SAFEGUARDS

To maintain stability and prevent automated structuring or high-frequency abuse, Zizz imposes velocity guardrails, including:

  • Inflow and outflow frequency thresholds (e.g. maximum transactions per hour).
  • Automated cooldown windows between high-value transfers.
  • Behavioral smoothing routines to prevent anomalous spikes in banking activity.

6. FEES, EXCHANGE RATES & CONVERSIONS

All fees, exchange rates, and spread margins are transparently presented to you before confirming any transaction.

  • FX Spread & Conversion Fees: Zizz incorporates a competitive spread into the real-time quote visible during conversion.
  • Blockchain Gas Fees: On-chain stablecoin deposits are subject to the applicable blockchain network fee (Ethereum, Tron, BNB Smart Chain, Arbitrum, etc.).
  • Payout Fees: Standard settlement routing fees (flat nominal fee or minor percentage) are displayed prior to payout execution.

7. PROHIBITED USES & CODE OF CONDUCT

You agree not to use Zizz for any prohibited or unlawful purpose, including but not limited to:

Conducting money laundering, terrorism financing, or evading sanctions.
Transacting funds derived from phishing, romance scams, malware, or ransomware attacks.
Attempting to reverse-engineer, exploit, or bypass security firewalls and velocity caps.
Selling, leasing, or transferring your verified Zizz account or username to any third party.

8. DISCLAIMERS & LIMITATION OF LIABILITY

Zizz services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.

  • Blockchain Network Risks: Zizz is not liable for losses resulting from blockchain network congestion, hard forks, unsupported token deposits, or incorrect wallet addresses provided by users.
  • Banking Rail Outages: We are not responsible for delays caused by national interbank switching networks (NIBSS) or commercial bank maintenance windows.
  • Limitation of Damages: In no event shall Zizz Technologies Ltd, its directors, employees, or partners be liable for indirect, incidental, special, consequential, or punitive damages.

9. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be resolved through good-faith informal negotiations. If unresolved within 30 days, the dispute shall be referred to and finally resolved by binding arbitration under the Arbitration and Mediation Act in Lagos, Nigeria.
